1. Introduction
These Terms and Conditions (“Terms”) constitute the agreement (“Agreement” or “Member Contract”) between you (“Member,” “Affiliate Member,” or “Premier Member”) and One Marketplace LLC (“One Marketplace,” “the Company,” “we,” or “us”). By registering as a Member, you agree to be bound by these Terms, the Compensation Plan, the Income Disclosure Statement, and all related policies and procedures.
These Terms govern your participation in the One Marketplace opportunity, including your right to promote and sell One Marketplace products and services, enroll others, and earn commissions.
Governing Law: Except where the Federal Arbitration Act applies, this Agreement is governed by the laws of the State of Florida, USA, without regard to its conflict of law principles.
2. Definitions
· One Marketplace Member Compensation Plan (“Plan”): The plan outlining how Members earn income.
· Income Disclosure Statement (“IDS”): The official document showing average, median, and range of Member earnings, required by the FTC.
· Copyrighted Works: All content and intellectual property owned or licensed by One Marketplace.
· Subscriber/Customer: Any end user of One Marketplace products/services, including Members acting as customers.
· Member: Any individual or entity registered as a participant in the One Marketplace opportunity.
· Line of Enrollment/Genealogy (LOS): The structural arrangement of Members by enrollment relationships.
· LOS Information: Data concerning the genealogy of Members, including contact and performance information.
· Marks: Trademarks, service marks, and trade names owned or licensed by One Marketplace.
· Prospect: Any potential Member or customer.
· Approved Provider: Authorized suppliers of business support materials.
· Manager/Trainer: The direct up-line responsible for training and compliance of downline Members.
3. Code of Ethics
All Members must:
· Act with honesty, integrity, and fairness in all business dealings.
· Avoid making misleading, deceptive, or unsubstantiated claims about the Company, products, or earnings.
· Provide accurate information to prospects and customers.
· Not disparage One Marketplace, its products, or other Members.
· Not engage in cross-recruiting or promote other business opportunities to One Marketplace Members.
· Comply with all applicable laws and regulations.
4. Becoming a Member
· Eligibility: Must be at least 18 years old and legally able to contract.
· Registration: Only the applicant may complete the registration form. Legal entities must provide documentation within 15 days.
· Acceptance: One Marketplace reserves the right to accept or reject any application.
· Multiple Accounts: Only one personal and one business account per person/entity is permitted.
· Term: Membership is ongoing, subject to payment of applicable fees and compliance.
· Cancellation: Members may cancel at any time via the dashboard or by emailing support@onemarketplace.store.
· Inheritance: Membership may be transferred upon death, subject to documentation and approval.
5. Responsibilities and Obligations
· Good Faith: Members are responsible for their actions and those of anyone acting on their behalf.
· Compliance: Members must comply with all One Marketplace policies and applicable laws.
· No Employee Status: Members are independent contractors, not employees or agents of One Marketplace.
· Reporting Violations: Report suspected violations to support@onemarketplace.store.
6. Presentation of the Plan, Enrolling, and Support
· Transparency: Members must make clear they are presenting the One Marketplace opportunity.
· Required Disclosures: Only official materials and the current IDS may be used in presentations.
· 7-Day Waiting Period: Prospects must review the IDS and Agreement for at least 7 days before enrolling or making any payment.
· No Lifestyle or Tax Claims: Members may not make lifestyle, tax, or unsubstantiated health claims.
7. Commissions and Compensation
· Retail Sales Requirement: Commissions and bonuses are paid only on verifiable retail sales to non-Member customers. At least 70% of all sales volume must come from retail customers to qualify for recruitment-based bonuses.
· Active Status: Members must be current on all fees and in good standing to receive commissions.
· KYC and Tax Compliance: Members must complete Know Your Customer (KYC) verification and provide valid tax information (e.g., W-9) for payments exceeding $600/year (U.S. Members).
· Commission Payments: Processed monthly; Members are responsible for maintaining accurate payment information.
8. Income Claims and Income Disclosure Statement
· Mandatory IDS:
Any earnings or income claim—whether written, oral, or implied—must be accompanied by the current Income Disclosure Statement (IDS), which includes:
· Median and average earnings of all Members
· Percentage of Members earning commissions in the prior year
· Typical costs and expenses (subscriptions, training)
· Success rates by membership tier
· Disclosure Requirement:
The IDS must be provided to all prospects before enrollment and linked on all recruitment materials, presentations, and websites.
· Expense Disclosure:
All earnings claims must state:
“Most Members spend $[X] monthly on business expenses and earn $[Y] after costs.”
· Testimonial Rules:
Testimonials showing earnings over $5,000/month must include:
“This result is not typical. See our Income Disclosure Statement at [link].”
· Recordkeeping:
The Company will maintain written substantiation for all earnings claims for at least 3 years.
9. Inventory Loading and Buyback Policy
· No Inventory Loading:
Members are not required to purchase inventory to participate or qualify for commissions.
· Buyback Policy:
Members may return unsold, unopened products within 90 days of purchase for a 90% refund (excluding shipping).
· Prohibition of Inventory Loading:
The purchase of inventory in unreasonable amounts is prohibited. The Company may refuse commissions on sales deemed to constitute inventory loading.
10. Payment, Cancellation, and Refund Policies
· Payment Terms:
Members must maintain current payment status for all dues and fees.
· Auto-Renewal Protections:
· Separate written consent is required for auto-renewal of subscriptions.
· Members will receive email confirmation before each recurring charge.
· One-click cancellation is available online.
· Refunds:
Refund requests must comply with Company policy and be submitted within the applicable timeframes.
· Cancellation:
Members may cancel at any time; cancellation forfeits position and future commissions.
11. Marketing, Advertising, and Social Media
· Official Materials Only:
Members may only use Company-approved marketing materials.
· Social Media Disclosures:
· Use #ad or #sponsored in the first three lines of any promotional post.
· Verbally disclose sponsorship in videos/livestreams.
· Avoid filters/edits that misrepresent product results.
· Endorsement Disclosure:
Members must disclose any material connection (such as commissions or free products) when promoting the business or products.
· No False or Misleading Statements:
All advertising must be truthful and substantiated.
· No Cross-Recruiting:
Members may not promote other business opportunities to One Marketplace Members.
12. Preservation of Genealogy (LOS)
· LOS Integrity:
The Company reserves the right to maintain the integrity of the Line of Enrollment and may adjust positions to correct errors or prevent manipulation.
13. Business Support Materials
· Approved Providers Only:
Members may only use business support materials from Company-approved providers.
· No Unauthorized Sales Aids:
Members may not create or sell their own sales aids or promotional materials without Company approval.
14. Intellectual Property
· Use of Marks:
Members may use One Marketplace trademarks and copyrighted materials only as expressly permitted by the Company.
· No Unauthorized Use:
Members may not use the Company’s name, logo, or marks in domain names, email addresses, or unapproved materials.
15. Dispute Resolution
· Dispute Resolution Board (DRB):
Disputes will be handled by a DRB, which shall include at least one independent third party (e.g., retired judge) for FTC-related complaints.
· No Gag Clauses:
Members retain the right to:
· File complaints with regulators (e.g., FTC)
· Post honest reviews
· Participate in class actions
16. Limitation of Liability
· Limitation:
To the extent permitted by law, One Marketplace is not liable for any indirect, special, incidental, or consequential damages arising from Member participation.
17. Recordkeeping, Audits, and Compliance
· Tracking:
The Company will track retail vs. Member purchases in real-time.
· Audits:
Quarterly audits will be performed on the top 10% of earners to ensure compliance.
· Regulatory Access:
The Company will provide regulators with access to compensation data within 72 hours of request.
18. Modification of the Member Contract
· Right to Modify:
One Marketplace reserves the right to modify these Terms at any time. Continued participation constitutes acceptance of changes.
· Notice:
Members will be notified of material changes by email or via the website.
19. Miscellaneous Provisions
· Severability:
If any provision is found unenforceable, the remainder of the Terms remain in effect.
· Waiver:
No waiver of any provision is effective unless in writing and signed by an authorized Company officer.
· State-Specific Laws:
Members must comply with all applicable state and local laws, including registration and cooling-off periods where required.
